Like ⁓ feel like these moves are planned and especially like the board, they know who owns what and ⁓ any any large position at least and and they kinda have a feeling on what the move's gonna be or what the plan is, but ⁓ maybe not. So yeah, he's he's not he's not trying to compete against Jeff Bezos, and he he he actually wants to do something different. I think he he mentioned that. You know, he would focus on he not selling first hand stuff. So like basically all resale and second hand items, he'd he'd want that to be the focus of eBay. ⁓ And now it's a good timing for it because of the inflation and the prices of everything, new consoles, like how much is the new PS five or PS six coming? How much is it gonna be? ⁓ my god. Yeah, everything went up another hundred bucks. I've been looking at a MacBook. That thing went up like two hundred and fifty dollars, I think. Yeah. So like Yeah, it's not So it's crazy. Like everyone is gonna look for like ⁓ second hand stuff. Especially for kids. It's huge on TikTok. And they yeah, they're making like huge amount of money there. Like it's crazy. And eBay can compete with them and can get can get bigger of than TikTok. And they don't do that. But he goes I was flabbergasted on this media type 'cause like my grandma has been watching QVC for like fifty years, you know? So it's still here and it's going stronger in different mediums. And that kind of led to the whole, why does everybody hate GameStop? you know, we got people that are, you know, board members that put their own money into it. We we buy shares. We don't take money out of the business. We put it into the business. ⁓ but the eBay board is the opposite. They're just taking money out. They don't care about the business. They're, you know, he did he did the whole spiel about that and then told us he put his own money into the deal. What's more American than, you know, putting your own money and having risk. involved and that's fair. I mean that's fucking extremely fair. ⁓ so it's pretty powerful. I like that shit about him. So I mean the big question's always and I think the answer is no, he can't buy on his own and not file being that GameStop's already over five percent because they would be a group. Should we do that one or do we want to do the why does everyone hate us? Whatever I pick. I'll just pick this and we'll see how far it goes. Would you articulate a strategic vision for eBay and then write out what you're going to do over the next three, four, five years so that the shareholders that are considering your acquisition offer can see both your vision and your plan for execution on that vision over the next several years? Or are you much more Of a responsive manager where you're going to go in and diagnose and be much more of a tactician in iterating almost in an agile way the business to success. How do you kind of think about presenting how you're going to be more successful in operating this business than existing management? So there are three areas. Number one is on immediately improving earnings through cutting costs. And Pulling $2 billion of costs out of the business. And on the operating base of close to $5.5 billion of expenses ⁓ and $2.4 billion spent on sales and marketing for essentially no user growth, ⁓ there's a lot of money to pull out there. So you have the immediate increase in earnings through cost cutting. That's basically one. And then there's two Growth vectors that ⁓ I'm very much interested in. Number one is live commerce. And there's a large competitor that is completely crushing it. And eBay has the users, eBay has the brands, they have a platform, but the platform sucks for a lot of different reasons. and they don't have the content creators on the platform, and nobody even really knows eBay Live. Exists. There's like an application process. I talked to sellers and they're telling me like they've applied to be ⁓ to be a seller and they are waiting to get approved. It's like they're basically stopping themselves from being successful and getting content creators onto the platform. ⁓ and then the entire back end of eBay Live also sucks. So live commerce, the TAM is like 400 billion. It's growing very quickly in the US. It's very popular in Asia. And eBay Live should be significantly larger. They should be the category leader in the space. And they have like a max a few hundred people, you know, in ⁓ you know, basically watching watching their ⁓ watching watching their sales. So that's a huge, huge growth opportunity for them to start doing really well in live commerce. ⁓ and the benefit also we have with the stores beyond basically fixing the platform, the front end, and the back end, ⁓ using the stores, there's 1,600 essentially nodes that can be used as studios for creators. They could be used as fulfillment and logistics, and ultimately allowing sellers and the content creators to do what they do best, they just create content, and we can help them on. Photography, we can help them on fulfillment, we can help them on logistics. and we can also do the authentication. And that extends to the marketplace model as well. So I would focus a lot on on growing the live commerce side of things beyond the cost cutting. And then the third thing is, and this is something that I have not spoken about before publicly. But eBay today is the leader in physical items, physical collectibles as an example. And so I would extend the that into digital collectibles. And essentially, if you look at all of these in-game items, triple A titles that people are accumulating, skins, weapons, all of these things, taking eBay. And building a marketplace where you can provide liquidity for in-game digital items. Essentially, it's what NFTs could have, people thought they were, but ultimately they had no real utility. In game items actually have real utility. And if you look at all of these collectibles, frankly, they're an egoplay. You own art, like what is that? At the end of the day, it's an ego play. if you look at trading cards, I mean it's a piece of cardboard in a piece of plastic, and they're very, very, very popular, but there's no real utility to them other than being able to tell people you've got these really ⁓ a really unique trading card. But if you look at in-game digital items, there's no marketplace that is providing liquidity for them. And so I would use eBay to ⁓ to provide liquidity for in-game digital items. And I believe that addressable market is significantly larger than could be much larger than eBay's marketplace on physical items and no one's doing it and and this should already exist. And it's kinda like it's crazy that it doesn't exist. The eBay board has rejected your phrase it out. So I just wanna add something about the collectibles and the digital items. So I don't really agree with Ivy. Like when you look at the global scale and selling those items and eBay is global and all of the people who have those items, the who play Fortnite, Roblox, HTA or whatever, it's it's it's really huge market for it. Yeah. And even items are like three, five dollars each, it's a huge market for it. Yeah. It it could be insane. ⁓ if it's done right with like a reputable person and ⁓ like ⁓ It's like you're trading the penny stocks and you can make like a lot of money on it. It would probably help the collective I I always worry what fucking adults turn it into, you know, like everyone's worried about the scalpers and Pokemon. So I'm sure I'm sure there'd be some element of just people just flipping skins like it's a market, you know what mean? But for sure like everywhere. Yeah, once money's involved, things start getting manipulated. But it it would be like, you know, less of a you know But you know how much shit my kids have of all their like games that they can just go ahead and sell it and get some money back from it? So Grapevine, Texas, GameStop Corp today announced that for the fiscal year ending January thirtieth, twenty twenty seven. ⁓ the company currently expects to generate adjusted EBITDA in excess of 600 million compared to adjusted EBITDA of 345 million for fiscal year 2025. So that you know, I think we're at 135 million for Q one. So it's basically they're guaranteed they're saying I you can't guarantee anything that at least we will match what we've done in this first quarter, which was massive, but it's adjusted EBITDA. ⁓ so that's you know. No investments. It's just kind of like GameStop's core business producing ⁓ six hundred million in pr in ⁓ Jesse Ebida over the course over the next well not the total over the next year or this year. So I mean it's significant. ⁓ seventy-four percent. Yeah. Maybe seventy-four point one. I don't know exactly, but seventy-four for sure. Yeah, so it was a first for us. I don't know. Like have we ever gotten anything Close to this in terms of forward guidance? No. Yeah, I don't think so. I can't think of a single time where they've given us any hint about anything, like when it comes to numbers. So that was pretty big. Let's see. So 400 that'll be another 436 million over the next three quarters. So about 145 million on average. Let's see. Any other notes? I don't know. I was just kind of looking. So eBay's Just so of note, eBay's 2025 revenue was 11 billion, ours was 3.63. they're adjusted EBITDA was 3.49 billion for the year, I think. Yeah. and then we did the 345 million. So trying to get my chart to just turn with me. And then ⁓ So yeah, they did a billion in the in the first quarter too. So I don't know. They I mean it's a much bigger business. You can't really compare ⁓ in any way when it comes to all of that. We do have the same amount of shares out there though. But yeah, they're rocking. I was I was so smart and I asked Chad GPT about it. And of course, if it wasn't for GameStap deal, the price reaction would be much, much better. But still it's like so not, you know. Yeah. Not sure and risky and whatever was gonna happen with GameStar and with eBay and you know, the the deal is not Yeah. Yeah. Your best bet wasn't it open, but anything short within the last couple of weeks, your your best chance was that first minute of trading. but we didn't do the backfill. I mean it's amazing compared to what we've been doing you know, ever for the last whatever years as a company, the fact that we're s gonna be doing a six hundred million to Jess at Evita is just phenomenal. I wasn't against it. I feel like he deserves to get paid. And the compact it was not in my opinion it wasn't bad. He would get paid in shares that he would buy. And it wasn't it weren't shares, they were calls. It would hold his position, he would has to stay as a CEO and ⁓ you know all the shit. So I wasn't against it. But probably that was the reason that they were saying that he wants to get eBay just to get the money from the package. Like he didn't care about eBay, like excuse again. Like, ⁓ you just want eBay to get paid. Bullshit. So he was like, No, fuck it, I don't need that. So take that away from the plate. I don't care about it. I want eBay. I don't care about money. It's not about money for him. He has money. He own he has a lot of money. So he doesn't really care. He's he just put five hundred million into a big deal. Yeah. So it's not about money. He he's gonna get paid eventually, one day. He knows about it. So he doesn't care. He wants to get paid not by selling stuff. He wants to get paid any other way. So Right. I was thinking maybe he wanted it with the warrant. But no. I I mean, okay, so So yeah, there's a bad there's a bad image about it, but I feel like it doesn't matter, right? So but yeah, you know, the adding eBay would fill out like half his tranches right away and you know, ⁓ man, we'd be just giving him money, except for the fact that he'd be buying the shares that no one seems to ⁓ remember that part when they talk about the comp plan that it would be out of his own pocket and you know At the level we're at right now, twenty two ⁓ seven. it would have been not allowed to sell them for two years. So it was an average of twenty fifty. So so like back when this last week when this was announced, it was about seventy cents. The price was about seventy cents over the comp package. ⁓ we did kind of like sell off after the news. That had me a little worried about ⁓ because I had been in my head that comp package line of twenty fifty was keeping us above it, ⁓ because that's just kinda like a line in the sand. If if if he has that comp package and the price is below it, it just makes sense for him to buy like every time I would think. ⁓ so I I felt like that was protecting us a little bit, but we'll look at the chart here in a second. Twenty ninety three held pretty nicely. And now, you know, another reason why I follow gaps. We'll we'll look at that ⁓ quickly here in a second. But ⁓ Yeah, so so that the lawsuit, maybe the lawsuit did have some ⁓ credibility to it and there was a chance it could hold things up and he doesn't want anything to hold hold things up. I believe they withdrew the the lawsuit immediately after that. Yeah, that might be it. So yeah, he doesn't need that. Yeah, ⁓ it it was about how ⁓ they changed I think the rules of how non votes would be counted. It's just weird how this shit happens, whoever that person in Pontiac, Michigan or whatever. And then the other thing I thought maybe is that it could be he wants the shares. not for himself, but like so so the big so the big item at the shareholders meeting now is is is the one point five billion shares. I thought his comp package was going to pass no problem. I think this one point five billion is going to pass no problem. I hear people s calling it 2.5 billion. Just to be clear, that's the total amount. ⁓ we will be adding an additional 1.5 billion. That's what we're voting on. ⁓ there's already a billion issued. ⁓ of that billion, not issued, ⁓ approved. We approved that in ⁓ 2022 when we voted for the split splivy. ⁓ that's when we raised it from I think it was like 70 million or some shit to to a billion and then we split. So now we have 448 million outstanding, just kind of a breakdown of what we what our billion is used up by. ⁓ the 2030, the the first, the Bitcoin convertible notes. ⁓ that's was that Project Rocket? That's Roger. I think so. Yeah, 50 million point 50 million shares locked up there. then the the next project we ⁓ 77 million shares locked up there. And then the warrants, there's fifty-seven million shares locked up. So that would that'd be putting us pretty tight already. And then RC's compact was 171 million shares. ⁓ so that left us with like a hundred and ninety-four million available. And I mean, at this price, I think we need we will need let's see, twenty, what's half the D Bay deal? Twenty seven billion? Let's see, divided by twenty two. So we'll need like ⁓ almost all of that. One point two billion. We would need a shit ton of shares ⁓ and we don't have enough to to do the half cash, half stock trade. No especially at twenty two dollars. No, but w the price it's not gonna be twenty two dollars. The price will go to five. Yeah, that's the other thing. Especially if yeah, especially if he starts to doing the offerings, we know how that goes. That's not gonna work like this way. Yeah, so we would the price would need to go significantly. ⁓ and then was need to stay elevated or we'll just be getting eaten up. Like for that we would have to go to like ⁓ hundred and fifty and then do all of that which you said, the offering of ⁓ one point five billion dollars and then we will go to twenty two dollars, then we can do half ⁓ half cash half stock. Yeah. So so it's it's fair to say. It's fair to say that ⁓ we definitely need that to pass if we want eBay to be, you know, it's the credibility part of it, the the rejection that the eBay board gave. ⁓ it's, you know, it's around the funding and whether or not we can accomplish it. Well what he's saying and ⁓ if we don't have the stock available, that'll that'll that'll be a ⁓ big negative. ⁓ I think the credibility will be hurt even more. So it's very important. ⁓ I think it's gonna pass. I know we've been talking. I mean it might already have passed because you would think he would want ⁓ the price up a little bit going into the meeting and that hasn't been the case. And he hasn't really done a ton to try to move the price up. I guess the ⁓ The forward guidance could have been seen as but you know, you see where we are as as a result. So we're not getting like a pump. But the business is good. That's just proof of his work was good. That yeah, that worked. Yeah. He's doing good business. He fixed GameStop. Yep.
